Bylaws Summary

This page summarizes, in plain language, how the Reggae Arts & Culture Foundation Inc. is governed. It is a public-facing overview, not the full legal bylaws document, which is available to the public upon written request.
1. Organizational Structure
The Foundation is organized as a nonprofit corporation under the laws of the State of New York and is governed by a Board of Directors. Day-to-day operations are led by an Executive Director who reports to the Board.
2. Board of Directors
The Board of Directors is responsible for overseeing the Foundation's mission, finances, and strategic direction, and for appointing and evaluating the Executive Director. Board composition, terms, and officer roles will be published on our Leadership and Governance page as they are finalized.
3. Cultural Advisory Council
A Cultural Advisory Council of researchers, curators, and community members advises the Board and the Reggae Institute on matters of cultural accuracy, historical integrity, and community representation, consistent with the Foundation's stated cultural responsibility.
4. Meetings and Records
The Board meets regularly to review the Foundation's programs, finances, and compliance obligations. Minutes and key governance records are maintained by the Foundation in accordance with New York nonprofit corporation law.
5. Amendments
The Foundation's bylaws may be amended by the Board of Directors in accordance with the procedures set out in the full bylaws document.
